General Conditions of Sale

Article 1. Purpose of the Contract.

This document governs commercial relations between the CUSTOMER and BabyDeli in relation to the acquisition of products in which the CUSTOMER may be interested from the online store of BabyDeli.

Article 2. Orders.

All orders are subject to the conditions expressed herein, which shall be valid in any situation. As a result, no term or condition included in a CUSTOMER�s order shall be valid if it contradicts these terms and conditions.

The sale shall be completed once the CUSTOMER has accepted the order. The delivery by mistake of an order by BabyDeli shall not constitute a contract for its receiver, even when they have accepted the order.

Article 3. Price and delivery period

The price is established according to the list that BabyDeli provides to the CUSTOMER through the online catalogue available on its website (www.babydeli.com), detailing the validity period of the offer and the actual price.

The prices shown in the price list of BabyDeli include the shipping costs, insurance, installation and taxes.

BabyDeli informs you that the delivery periods for its products will depend on their availability at the warehouse at any given moment in time.

Article 4. Payment and Shipping Conditions.

Article 4.1. Payment Conditions.

Payment for the order occurs simultaneously at the moment of accepting the order. If the CUSTOMER fails to make payment, BabyDeli shall be entitled to terminate the contract and cancel the deliveries.

BabyDeli will not accept the return of any product unless it is defective, in cases when the product has been made or modified according to the CUSTOMER�s specifications, or when it has clearly been personalised at the CUSTOMER�s request.

Customers may choose between the following payment methods in the online store of BabyDeli:
  • Payment by credit card using a secure connection. Maximum amount: 3000 euros per purchase.
  • Payment by means of PayPal. Maximum amount: 3000 euros per purchase.
  • Payment by cash on delivery: only for purchases of less than 300 euros. Payments made by cash on delivery can only be made within the Iberian Peninsula, excluding Portugal.
  • Payment by transfer. Following confirmation of the availability of products and contacting the Customer Service helpline. No limit to the amount.
Article 4.2. Shipping.

Baby Deli is not liable for the shipping times once the materials leave its warehouse, unless an express delivery date has been specifically agreed with the CUSTOMER.

Baby Deli will not be responsible for any losses caused by problems with the packaging, delivery mistakes, discrepancies or the total or partial loss of deliveries, unless Baby Deli is informed in writing within seven working days of the delivery of the material.

If any visible damage is detected in the packaging or product itself at the moment of delivery, the CUSTOMER must indicate this in the delivery note signed by the delivery man. Otherwise, no claims will be accepted for any such damage.

BABY DELIis not liable for customs costs, and the importation taxes will not be included in the price of the article or in the delivery price, and will have to be paid at the destination by the person receiving the goods.

Baby Deli offers Free Shipping for purchases over 65 EUROS delivered in peninsular Spain. This promotion does not apply to the Balearic Islands, Canary Islands, Ceuta or Melilla. Baby Deli reserves the right to offer or publicise the delivery costs for specific promotions.

Article 5. Quality and operation guarantee.

The products shall be covered by a 24-month guarantee from their reception, beginning on the date on which they are delivered, as detailed on the delivery note.

In the event of the CUSTOMER detecting any defects in the products, they must inform BabyDeli as soon as possible in writing, at least indicating the series number or model of the product, together with a brief description of the defect.

Products found to be defective within the guarantee period shall be repaired or replaced at no additional cost to the CUSTOMER.

If a product is checked and found to work properly or that the reason for its incorrect operation is not connected with the product itself, it shall be returned to the CUSTOMER with the shipping costs paid COD.

Article 6. Right to reject or return products

The CUSTOMER is entitled to desist from the contract without being required to give any reason for 7 working days following delivery of the product. The rejection document accompanying the product must be used for this purpose.

Similarly, and apart from the right to reject the product expressed above, one hundred percent (100%) of the cost of the products returned by the CUSTOMER to BabyDeli will be repaid, on the condition that:

  • The product has not been used and is still in its original packaging without having been unwrapped.
  • The product is returned within 15 days of its reception, from the date of the invoice issued by BabyDeli.
  • A copy and/or number of the invoice for the product is enclosed when requesting the return.
In cases when the returns do not meet the acceptance criteria described above, BabyDeli shall return the product, with the CUSTOMER being responsible for the delivery costs.

Article 7. Liability Waiver.

BabyDeli may not be held liable for any loss or damage of or to the products as a result of causes or factors that are not attributable to BabyDeli.

BabyDeli shall be liable for any defects found in the products providing the CUSTOMER has informed BabyDeli of the same within the guarantee periods detailed in Article 5. Its liability shall be limited to making the necessary repairs at our facilities and/or delivering alternative merchandise.

BabyDeli may not be held liable for any loss of income or other damages arising from defects in its products, regardless of their cause. The CUSTOMER shall not obtain any other compensation in relation to the defective product, and in particular and notwithstanding the above, shall not obtain any compensation for damages. Except as required by law, BabyDeli shall not be liable to the CUSTOMER under any circumstances for any direct or indirect losses including (but not limited to) financial losses, loss of profits, production, savings or expected revenue.

In cases where BabyDeli has manufactured the products according to the designs or specifications of the CUSTOMER, BabyDeli does not guarantee that these products will be suitable for the customer�s envisaged use.

Article 8. Transfer of ownership and Risk.

All products become the CUSTOMER�s property and are held at their own risk from the moment of delivery.

Article 9. Health and Safety in the Workplace.

The CUSTOMER must ensure that the products are installed correctly and safely according to the instructions previously provided by BabyDeli, and according to the principles of good commercial practice, avoiding any risk to the health or safety of other persons. BabyDeli may not be held liable for any breach of this clause by the CUSTOMER.

Article 10. Protection and Privacy of Personal Data.

The personal data of the CUSTOMER shall be treated in accordance with the Data Privacy and Protection Policy available for consultation online at the website www.babydeli.com.

Article 11. General.

BabyDeli may not be held liable for any breach of any of the terms and conditions expressed in these General Conditions when any such breach is a result of any circumstance beyond the control of BabyDeli, to the full extent permitted by Law.

Article 12. Applicable Law and Venue.

This Contract, in relation to its application and interpretation, shall be governed in accordance with Spanish Law as applicable in the city of Madrid. The language used shall be Spanish.

The parties agree to make every effort to resolve any disputes that may arise in relation to the interpretation and execution of these General Conditions in an amicable manner. If this is not possible, both parties agree to expressly renounce any jurisdiction that may correspond to them and to submit any disputes to the Courts and Tribunals of the City of Madrid.

Conditions of Use

In order to access specific information and contents, Users must previously register as such on the page designed for this purpose on the website of BabyDeli. As this involves the treatment of personal data, BabyDeli has prepared the following text to inform Users of their rights and obligations.

BabyDeli informs Users that registering or subscribing to specific services on its website is free and voluntary. In order to subscribe, BabyDeli requires that Users must fill in a form with their personal data.

This personal data will be treated confidentially and automatically by qualified personnel from BabyDeli, with access to the same restricted to persons required to do so due to their post within the company.

The data provided by the Users will be held on a database owned by BabyDeli equipped with the necessary security measures. The purpose of these security measures is to guarantee the security of the personal data and to prevent their alteration, manipulation, loss, unauthorised treatment or access, based on the current state of technology.

Entering information in the fields on the form for Users to register shall be obligatory or optional. BabyDeli request that the necessary fields be completed for the processing, treatment and delivery of the requested product. Any failure to fill in the fields marked as obligatory shall mean that the User will not be registered, and will therefore not be considered as a Registered User.

As a result of using this website, the User is duly informed and expressly authorises Baby Deli to gather and process their personal data, including those contained in this contract and any other provided to Baby Deli during the existence of the commercial relationship with the User, as applicable, and to include them in their customer database for the purpose of managing commercial relations with them, including the delivery (including by e-mail, SMS or similar procedures) of publicity and information about activities, products and services from Baby Deli and other companies belonging to the same Group in the sectors of children�s products, education, leisure time activities and foodstuffs.

BabyDeli informs you that your personal details may be passed on to other members of the Group (in the manner expressed in Article 4 of Law 24/1988 on the Securities Market of 28 July) for the same purposes expressed above, even when some of these companies are located in countries such as the USA in which the level of protection applicable to personal details is not the same.

BabyDeli shall be considered as the �File Supervisor� in accordance with the meaning expressed in Royal Decree 1720/2007 implementing Organic Law 15/1999 of 13 December on the Protection of Personal Data. You are further informed that pursuant to the provisions of Organic Law 15/1999 of 13 December on the Protection of Personal Data, you may exercise your right to access, alter, oppose or cancel this information by writing to BabyDeli, S.A. C/Lagasca, 54 � 28002 � Madrid, accompanying your request with a document accrediting your identity, such as a photocopy of your national identity document.

BabyDeli shall maintain absolute confidentiality in relation to any information, document or product it owns that has been received as a result of the commercial relationship.
